Terms of Service

IMPORTANT:This End User Licence Agreement ("Agreement") is between you (an individual or company) and Finflow Technologies Private Limited regarding your use of the Finflow software, website, and related services ("Service"). If you acquire the Service for your company, you represent that you are authorised to bind your company to this Agreement.

By purchasing, subscribing to, downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, Payment Terms, Refund Policy, and Disclaimer.

1. Service description

Finflow provides mobile and web access to Tally business metrics and reports. Features, supported Tally versions, and availability may change as we improve the product. Current plan details are on our pricing page.

2. Licence grant

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term. All rights not expressly granted are reserved by us and our licensors.

3. Eligibility and accounts

• You must be at least 18 years old and authorised to represent the business you register.
• You are responsible for accurate onboarding and billing information.
• You must have the legal right to connect and view any Tally data you configure, including compliance with your Tally licence terms.
• You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

4. Restrictions

Without limiting other restrictions, you agree not to:

1. Reverse engineer, decompile, disassemble, or create derivative works of the Service or any part thereof.
2. Copy, reproduce, publish, sell, rent, lease, distribute, or publicly display the Service except as expressly permitted.
3. Assign, sublicense, transfer, pledge, or otherwise encumber your rights under this Agreement.
4. Use the Service in any manner that infringes our or any third party's intellectual property or proprietary rights.
5. Circumvent security, access controls, usage limits, or authentication mechanisms.
6. Use the Service for unlawful purposes or to transmit malware, spam, or harmful content.
7. Provide the Service or access thereto to any government agency or third party except as permitted by your plan and our written consent.

5. Subscription and payments

Paid plans are billed as described at checkout. The Metrics plan is charged per subscription period shown on the pricing page. GST at applicable rates may be added at checkout. Payments are processed via Razorpay. By purchasing, you agree to our Payment Terms and Refund Policy.

6. Term and termination

This Agreement remains in effect for your subscription term or until terminated. We may suspend or terminate your access immediately if you breach this Agreement, fail to pay fees, or if required by law. You may stop using the Service at any time; prepaid fees are handled per our Refund Policy.

Upon termination, your licence ends and we may delete your account data after any applicable retention period. Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

7. Availability

We aim for reliable service but do not guarantee uninterrupted availability. Scheduled maintenance, Tally desktop outages, network issues, or third-party failures may affect access. We will use reasonable efforts to notify you of planned downtime.

8. Intellectual property

The Service, including software, branding, documentation, and design, is owned by Finflow Technologies Private Limited or its licensors. Your Tally and business data remains yours. You grant us a limited licence to process that data solely to provide the Service.

9. Limited warranty

The Service is warranted to perform substantially as described in our product documentation for the subscription period. This limited warranty is exclusive and in lieu of all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties regarding accuracy, completeness, or real-time availability of synced data.

10. Disclaimer

Except for the limited warranty above, the Service is provided "as is" and "as available". See our Disclaimer for additional warranty and liability exclusions.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data, arising from use of the Service. Our total liability for any claim is limited to the fees you paid for the Service in the six months preceding the claim, except where liability cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Finflow Technologies Private Limited, its officers, employees, and partners from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of this Agreement, unauthorised connection of Tally data, or infringement of third-party rights.

13. Tally disclaimer

Finflow is an independent product and is not affiliated with, endorsed by, or sponsored by Tally Solutions Pvt. Ltd. Tally, TallyPrime, and Tally ERP 9 are trademarks of their respective owners, used only to indicate compatibility. You are responsible for compliance with your Tally licence terms.

14. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, government actions, internet or power outages, or failures of third-party services.

15. Assignment

You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets, with notice where required by law.

16. Changes

We may update this Agreement from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.

17. Governing law and jurisdiction

This Agreement is governed by the laws of India. Subject to applicable law, courts in Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising from this Agreement.
